Terms of Service

1. Agreement to terms

By accessing or using the website at deepwavetech.io or engaging services provided by Deepwave Technologies Inc.(“Deepwave”, “we”, “our”), you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

Deepwave Technologies Inc. is incorporated in Alberta, Canada. These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

2. Our services

Deepwave Technologies provides IT consulting services including, but not limited to: IT strategy and advisory, cloud architecture and migration, cybersecurity and compliance consulting, digital transformation, data and AI solutions, and managed IT services.

The specific scope, deliverables, timelines, and fees for any engagement are governed by a separate written agreement (statement of work, service agreement, or proposal) entered into between Deepwave and the client. In the event of a conflict between these Terms and a signed agreement, the signed agreement prevails.

3. Website use

You agree to use this website only for lawful purposes. You must not:

  • Use the site in a way that violates applicable laws or regulations.
  • Transmit unsolicited or unauthorized advertising or promotional material.
  • Attempt to gain unauthorized access to any part of the website or its underlying systems.
  • Introduce viruses, trojans, worms, or other malicious or technologically harmful material.
  • Scrape, harvest, or collect user data without our express written consent.

4. Intellectual property

All content on this website — including text, graphics, logos, icons, images, and software — is the property of Deepwave Technologies Inc. or its content suppliers and is protected by Canadian and international copyright laws.

You may view and print pages for personal, non-commercial reference only. Any other use, reproduction, or distribution requires our prior written permission.

Client deliverables produced under a services engagement are subject to the intellectual property terms set out in the applicable service agreement.

5. Confidentiality

Information shared with Deepwave in connection with a potential or active engagement (including business processes, data, and technical environments) is treated as confidential. Deepwave will not disclose such information to third parties except as necessary to deliver the services or as required by law.

Detailed confidentiality obligations for client engagements are set out in the relevant service agreement or non-disclosure agreement.

6. Disclaimers

This website and its content are provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components. General information on this site does not constitute professional IT, legal, financial, or regulatory advice.

7. Limitation of liability

To the fullest extent permitted by applicable law, Deepwave Technologies Inc. and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of, or inability to use, this website.

Our total liability for any claim arising in connection with the website or these Terms shall not exceed CAD $100. Liability limits for service engagements are governed by the applicable service agreement.

Our website may contain links to third-party websites, including deepwavelearning.com. These links are provided for convenience only. We do not endorse, control, or accept responsibility for the content or practices of linked sites.

9. Privacy

Your use of this website is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

For active service engagements, material changes to the governing service agreement require written consent from both parties.

11. Governing law and disputes

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our website shall be subject to the exclusive jurisdiction of the courts of Alberta.
